Terms of Service

Agreement

These Terms govern use of MerchantWire SMS, a Shopify application offered by Advanced Computer Management. By installing or using MerchantWire SMS, the merchant agrees to these Terms and remains bound by applicable Shopify and Twilio terms for those separate services.

Service

MerchantWire SMS connects Shopify order activity to the merchant's own Twilio account for transactional/order-status text messaging. The release includes ready-made message templates, timing controls, delivery history, storefront transactional consent, STOP/START/HELP support, and optional authorized order-information text commands.

MerchantWire SMS is not a telecommunications carrier. Twilio supplies the messaging service, phone numbers, sender registration and carrier connectivity. Shopify supplies the commerce platform and app-distribution/billing environment.

Merchant responsibilities

• Maintain an active Shopify store, supported Twilio account and supported two-way numeric sender for the selected messaging country.
• Protect Shopify/Twilio credentials and use a Twilio Standard API key rather than sharing a master Auth Token for normal setup.
• Obtain and maintain any consent, sender registration, disclosures, policies and other permissions required for the merchant's messaging program.
• Use MerchantWire SMS only for lawful transactional/order-status messaging within the features provided by this release.
• Keep store identity, support contact, policies, sender configuration and message wording accurate.
• Review setup/readiness indicators and test the actual merchant program before enabling live sending.

Prohibited use

MerchantWire SMS may not be used for unlawful messaging, unsolicited marketing blasts, spam, harassment, fraud, deceptive content, prohibited goods/services, attempts to bypass opt-out controls, sender-registration evasion, unauthorized access to another merchant/customer's information, or any activity that violates Shopify, Twilio, carrier or applicable legal requirements.

Billing

MerchantWire SMS software subscriptions are billed through Shopify App Pricing using the price and trial shown in Shopify at the time of purchase. Twilio messaging, phone-number, registration, carrier and other Twilio charges are separate and are billed by Twilio. Ending MerchantWire SMS does not automatically cancel charges or services held directly with Twilio.

Current public-launch pricing is a 30-day free trial followed by $9.99/month or $99.99/year, subject to the plan shown and accepted in Shopify. Any future pricing change will be presented through the applicable Shopify billing flow.

Availability and third-party services

MerchantWire SMS depends on Shopify, Twilio, network carriers, Laravel Cloud and other infrastructure. Outages, API changes, carrier filtering, number-registration issues, billing status, store/theme changes or third-party restrictions can affect functionality. Advanced Computer Management does not control those independent services.

Message delivery

A Sent status is not a guarantee of delivery to the recipient's phone. Carrier filtering, destination state, recipient device/network conditions and Twilio/carrier behavior can prevent or delay delivery. Merchants should review the final MerchantWire delivery status and any reason shown for the message.

Data and privacy

Use of MerchantWire SMS is also subject to the MerchantWire SMS Privacy Policy. Merchants remain responsible for their own customer-facing privacy notices, SMS disclosures and lawful basis/consent obligations.

Changes to the service

Advanced Computer Management may modify MerchantWire SMS to improve reliability, security, compliance, platform compatibility or features. Features may be added, changed or removed where reasonably necessary, including to respond to Shopify, Twilio, carrier or legal requirements.

Suspension and termination

Access may be limited or suspended when subscription access cannot be verified, the app is uninstalled, required configuration is missing, use creates a security/compliance risk, or continued operation would violate platform/provider requirements. A merchant may uninstall MerchantWire SMS through Shopify. Uninstalling stops MerchantWire from initiating new automatic sends, subject to safe reconciliation of submissions already committed to an external provider.

Disclaimer

MerchantWire SMS is provided on an "as available" basis. To the maximum extent permitted by law, Advanced Computer Management disclaims implied warranties including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes rights that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Advanced Computer Management is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits/revenue/data/goodwill, carrier or provider charges, or failure/delay caused by Shopify, Twilio, carriers or other third parties. For direct claims arising from MerchantWire SMS, aggregate liability will not exceed the software subscription fees actually paid for MerchantWire SMS during the six months immediately preceding the event giving rise to the claim, except where applicable law requires otherwise.

Indemnity

To the extent permitted by law, the merchant is responsible for claims, penalties, carrier/platform actions or costs arising from the merchant's unlawful messaging program, content, consent practices, sender registration, misuse of the service or violation of these Terms, except to the extent caused by Advanced Computer Management's own unlawful conduct.

Governing law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law rules, except where mandatory law provides otherwise.

Changes to these Terms

Advanced Computer Management may update these Terms as the service or applicable requirements change. The effective date above will be updated when revised terms are published. Continued use after an effective update constitutes acceptance to the extent permitted by law.
